TERMS OF SERVICE

(Including End User License Agreement)

These Terms of Service (“Terms”) govern access to and use of GPT-Shield’s software, including the desktop application, browser extensions, and related services (collectively, the “Software”).

By installing, accessing, or using the Software, you agree to these Terms.

1. Definitions

“GPT-Shield”, “we”, “us”, or “our” means GPT-Shield LLC.
“User” means an individual authorized to use the Software.
“Customer” means the entity or individual purchasing or licensing the Software.
“Content” means text, prompts, documents, or data processed by the Software.
“PII” means personally identifiable information.

2. License Grant

Subject to compliance with these Terms, GPT-Shield grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your internal or authorized business purposes. Licenses may be:

Personal (single-user)
Enterprise (seat-based or organization-wide), as specified in your order or agreement

All rights not expressly granted are reserved by GPT-Shield.

3. Ownership

The Software, including all intellectual property rights, is owned by GPT-Shield. No rights are granted except as expressly stated in these Terms.

4. Core Functionality & User Responsibility

GPT-Shield is designed to assist users in identifying and redacting sensitive information before it is submitted to external systems.

Redaction Accuracy Disclaimer THE SOFTWARE IS PROVIDED “AS IS.” GPT-SHIELD DOES NOT GUARANTEE 100% ACCURACY IN DETECTING OR REDACTING ALL SENSITIVE INFORMATION. THE USER REMAINS SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ALL CONTENT BEFORE DISCLOSURE OR SUBMISSION. The Software is a risk-mitigation aid, not a compliance guarantee.

5. Acceptable Use

You agree not to:

Reverse engineer, decompile, or bypass licensing or protection mechanisms
Use the Software for unlawful purposes
Attempt to defeat or manipulate redaction safeguards
Misrepresent the Software’s capabilities

Additional restrictions are set forth in the Acceptable Use Policy, which is incorporated by reference.

6. Privacy & Data Processing

GPT-Shield processes sensitive content locally on the user’s device. No prompt text, document content, or detected PII is transmitted to GPT-Shield servers. Our data practices are described in the Privacy Policy, which is incorporated by reference.

7. Fees, Billing & Refunds

Fees, billing terms, cancellation rights, and refund eligibility are governed by the Refund & Cancellation Policy, incorporated by reference.

8. Suspension & Termination

GPT-Shield may suspend or terminate access if:

These Terms or the AUP are violated
Licensing abuse or fraud is detected
Required fees are unpaid

Upon termination, the license immediately ends.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” GPT-SHIELD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

To the maximum extent permitted by law:

GPT-Shield’s total liability shall not exceed the amount paid by the Customer in the twelve (12) months preceding the claim
GPT-Shield shall not be liable for indirect, incidental, or consequential damages, including data exposure resulting from user error or misuse

11. Indemnification (Narrow & Founder-Friendly)

You agree to indemnify and hold harmless GPT-Shield from claims arising from:

Your misuse of the Software
Violation of law or third-party rights
Content you submit or disclose using the Software

12. Export Controls

You agree to comply with applicable export control and sanctions laws.

13. Assignment

You may not assign these Terms without consent. GPT-Shield may assign these Terms in connection with a merger, sale, or reorganization.

14. Governing Law

These Terms are governed by the laws of the State of Utah, USA.

15. Changes

We may update these Terms. Continued use constitutes acceptance of updated Terms.
